Terms & Conditions.

These Terms & Conditions explain how projects and services provided by Design By Leah are managed, including quotations, payments, cancellations, revisions, intellectual property and client responsibilities.

Please read these terms before booking a project.

By accepting a quotation, paying a deposit, instructing Design By Leah to begin work or otherwise agreeing to proceed with a project, you agree to these Terms & Conditions, together with any project-specific terms contained in your quotation or proposal.

1. About Design By Leah

Design By Leah is a sole trader providing creative and marketing services to businesses and individuals in the United Kingdom and internationally.

Services may include, but are not limited to, graphic design, branding, print design and print management, website design and development, e-commerce, social media, marketing support, strategy, consultancy, copywriting, video editing, Meta advertising, presentations, content and other bespoke creative services.

2. Quotations & scope

Projects are generally quoted on a bespoke basis according to the work required.

A quotation, proposal or written agreement will outline the agreed scope of work and price where appropriate.

Any work requested outside the agreed scope may be treated as additional work and may result in an additional charge.

Where the requirements of a project change significantly after work begins, Design By Leah will discuss any resulting changes to the scope, timescale or price before carrying out substantial additional work.

3. Deposits & payments

A deposit may be required before work begins. The amount of the deposit will be confirmed as part of the quotation or project agreement.

Unless otherwise agreed in writing, invoices issued by Design By Leah are payable within 7 days of the invoice date.

Payments are currently accepted by bank transfer to the business bank account specified on the invoice.

Where a project is divided into stages, milestone or staged payments may be agreed.

Final files, website handover or transfer of intellectual property may be withheld until all amounts due for the relevant project have been paid in full.

4. Late payment

Clients are responsible for paying invoices by the stated due date.

If an invoice becomes overdue, Design By Leah may pause ongoing work, withhold deliverables or delay further project stages until the outstanding balance has been paid.

Any resulting delay to the project timetable will not be treated as a delay caused by Design By Leah.

Where applicable, Design By Leah reserves the right to exercise any statutory rights relating to late commercial payments.

5. Cancellations

If you wish to cancel a project, please contact Design By Leah as soon as possible.

If cancellation takes place before work begins, any refund due will depend on the circumstances of the booking, any costs already incurred and any applicable statutory cancellation rights.

If work has already begun, you may be required to pay for work reasonably completed up to the point of cancellation, together with any reasonable third-party or committed project costs that cannot be recovered.

Any deposit or advance payment already made may be applied towards those amounts. Where the amount properly due is less than the advance payment received, any balance that is due back to you will be refunded.

If the amount due for completed work and committed costs exceeds payments already received, an invoice may be issued for the outstanding balance.

Nothing in these terms removes or limits any cancellation or refund rights you may have under applicable consumer law.

6. Consumer cancellation rights

If you are acting as a consumer rather than for business purposes, you may have additional statutory rights, including cancellation rights for certain contracts entered into at a distance or away from business premises.

Where you have a statutory cancellation right and ask Design By Leah to begin providing services during the applicable cancellation period, you may be required to pay a proportionate amount for services properly supplied before you cancel, where permitted by law.

Nothing in these Terms & Conditions is intended to exclude, restrict or replace rights that cannot lawfully be excluded.

7. Revisions & amendments

The number and extent of revisions included in a project are bespoke and will depend on the agreed scope of work.

Where a particular number of revisions has been agreed, additional revisions beyond that allowance may be charged separately.

A revision means a reasonable amendment to work produced within the original brief. A substantial change of direction, new concept or change to the original brief may be treated as additional work rather than a revision.

8. Client responsibilities

You agree to provide the information, materials, access and feedback reasonably required to complete the project.

This may include:

  • Logos and brand assets
  • Copy and images
  • Product information
  • Website or account access
  • Business information
  • Approvals and feedback
  • Any other files or information requested for the project

You are responsible for ensuring information supplied to Design By Leah is accurate and that you have the necessary rights and permissions to use any content, images, fonts, logos, trademarks or other materials you provide.

9. Client delays

Project timescales depend on the client providing required materials, feedback, approvals and access within a reasonable time.

If these are delayed, the original completion date may no longer be achievable and the project may need to be rescheduled around other booked work.

Design By Leah is not responsible for delays caused by missing information, delayed approvals, inaccessible accounts or other matters outside its reasonable control.

10. Timescales & deadlines

Any estimated completion date will depend on the scope of the project, availability and timely cooperation from the client.

Where a specific deadline is important, it should be communicated and agreed before the project begins.

Design By Leah will take reasonable care to meet agreed deadlines but cannot be responsible for delays caused by events outside reasonable control, client delays or third-party suppliers.

11. Approval of work

You are responsible for reviewing work supplied for approval and checking it carefully before confirming that it is final.

This includes checking spelling, contact information, dates, prices, dimensions, product details, links and other factual information.

Once final approval has been provided, further amendments may be chargeable.

For printed materials, you should take particular care when approving final artwork because changes may not be possible once production has begun.

12. Intellectual property & copyright

Unless otherwise agreed in writing, ownership of final bespoke creative work produced specifically for the client will transfer to the client once all amounts due for that work have been paid in full.

Until full payment has been received, intellectual property rights in the work remain with Design By Leah to the extent permitted by law.

Third-party materials

Ownership cannot be transferred for third-party materials that Design By Leah does not own.

This may include stock imagery, fonts, software, plugins, templates, platform components and other licensed assets. Those items remain subject to their respective licence terms.

Working files

Unless specifically included in the agreed scope, editable source files, working files, drafts, unused concepts, internal files, processes and working materials are not automatically included in the final deliverables.

13. Portfolio & promotional use

Unless otherwise agreed in writing, Design By Leah may display completed work for portfolio and promotional purposes.

This may include displaying the work on the Design By Leah website, portfolio, social media accounts or other promotional materials.

If a project is confidential or you do not want the completed work displayed, please let Design By Leah know.

14. Website projects

Website projects will be completed according to the functionality and scope agreed for the individual project.

Clients are responsible for providing accurate website content, legal information, product information and any accounts or access required to complete the website.

Design By Leah will take reasonable care when building and testing a website but cannot guarantee that a website will be permanently free from errors, interruptions, security threats or incompatibilities caused by future changes to browsers, software, plugins, platforms or third-party services.

WooCommerce & e-commerce

Where WooCommerce or other e-commerce functionality is included, Design By Leah may configure agreed functionality, products, payments, shipping or related settings as set out in the project scope.

The client remains responsible for the commercial operation of their store, product accuracy, pricing, taxes, legal compliance, fulfilment, refunds, customer service and ongoing management unless specifically agreed otherwise.

Client changes

Design By Leah is not responsible for faults or loss caused by changes made to the website by the client or another third party after handover.

15. Third-party platforms & services

Some projects rely on third-party platforms, software, plugins, services or suppliers.

These may include social media platforms, advertising platforms, website software, payment providers, printing suppliers, stock libraries and other external services.

Design By Leah does not control those third parties and cannot guarantee their continued availability, functionality, policies, pricing or performance.

Changes made by a third-party provider may require additional work, which may be quoted separately where appropriate.

16. Printing & physical products

Where printing is arranged as part of a project, production may be carried out by a third-party printing supplier.

Printing specifications, quantities, finishes and expected timescales will depend on the agreed project and supplier.

Reasonable variations can occur between digital previews and physical printed products, including variations in colour, finish, positioning, material and trimming.

You are responsible for carefully approving final artwork, wording, quantities and specifications before printing is authorised.

If printed products arrive damaged, defective or materially different from the approved specification, please contact Design By Leah promptly so the issue can be investigated with the supplier.

17. Social media & marketing services

Marketing and social media performance can be affected by many factors outside Design By Leah's control.

No specific level of sales, enquiries, followers, engagement, website traffic or other commercial result is guaranteed unless expressly agreed in writing.

Social media platforms may change their algorithms, functionality, rules or availability at any time.

Design By Leah will provide agreed services with reasonable care and skill but cannot guarantee the decisions, performance or continued operation of third-party platforms.

18. Meta Ads

Where Meta advertising services are provided, the scope may include campaign setup, creative, copy, targeting, management or related support as agreed.

Advertising spend payable to Meta is separate from Design By Leah's service charges unless expressly stated otherwise.

The client is responsible for ensuring that their products, services, claims and business practices comply with applicable law and relevant advertising platform requirements.

Design By Leah cannot guarantee that Meta will approve an advertisement or account, or guarantee a particular advertising result, cost per result, return on advertising spend, number of enquiries or level of sales.

19. Third-party costs

Some projects may involve costs payable to third parties.

These could include printing, stock assets, premium fonts, software, plugins, advertising spend or other project-specific purchases.

Where these costs are not included in the original quotation, they will be discussed with the client before being incurred where reasonably practicable.

20. Confidential information

Design By Leah will take reasonable care with confidential business information provided for the purpose of completing a project.

Clients should identify particularly sensitive or confidential materials when supplying them.

Confidential information will not intentionally be disclosed to unrelated third parties except where reasonably necessary to provide the agreed service, where authorised by the client or where disclosure is required by law.

21. Liability

Design By Leah will provide services with reasonable care and skill.

Nothing in these Terms & Conditions excludes or limits liability where doing so would be unlawful, including any liability that cannot legally be excluded or restricted.

Subject to applicable law, Design By Leah will not be responsible for losses caused by matters outside its reasonable control, inaccurate information supplied by the client, unauthorised client or third-party changes, or the failure or actions of third-party platforms and suppliers.

Where the client is acting in the course of a business, Design By Leah will not be responsible for indirect or consequential losses, loss of profits, loss of anticipated savings, loss of business opportunity or loss arising from business interruption, to the extent permitted by law.

Nothing in this section affects a consumer's statutory rights or attempts to exclude liability that cannot legally be excluded.

22. Ending an ongoing service

Where ongoing, retained or recurring services are agreed, any specific notice period or minimum commitment will be confirmed as part of the relevant quotation or agreement.

Either party may request to end an ongoing arrangement in accordance with those project-specific terms and any applicable legal rights.

Work completed and properly incurred costs up to the effective termination date remain payable.

23. Right to stop work

Design By Leah may pause or terminate work where there is a serious reason to do so, including persistent non-payment, unlawful or abusive conduct, failure to provide essential project information, or a material breach of the agreed terms.

Where reasonably possible, the client will be informed and given an opportunity to resolve the issue before the arrangement is terminated.

Any amounts properly due for work already completed or reasonable committed costs will remain payable.

24. Events outside reasonable control

Design By Leah will not be responsible for delay or failure caused by circumstances outside reasonable control.

This may include widespread technology failures, internet outages, supplier disruption, platform outages, serious illness, natural events or other circumstances that could not reasonably have been prevented.

Where this occurs, reasonable efforts will be made to communicate with affected clients and resume work when practicable.

25. Complaints

If you are unhappy with any aspect of the service provided, please contact Design By Leah as soon as possible so the issue can be reviewed.

Design By Leah will aim to deal with concerns fairly and reasonably and, where appropriate, work with you to find a suitable resolution.

26. Your statutory rights

If you are a consumer, you have legal rights in relation to services provided to you.

Nothing in these Terms & Conditions is intended to exclude, restrict or otherwise affect any statutory rights that cannot legally be excluded or restricted.

27. Changes to these terms

Design By Leah may update these Terms & Conditions from time to time to reflect changes to services, business practices or applicable law.

The version applying to a particular project will generally be the version provided or made available when the project is agreed, unless a change is separately agreed or required by law.

28. Governing law

These Terms & Conditions and any dispute or claim arising from them are governed by the laws of England and Wales.

Where the client is acting in the course of a business, the courts of England and Wales will have jurisdiction over disputes arising from the agreement.

If you are a consumer, this section does not remove any mandatory rights you may have to bring proceedings in another jurisdiction under applicable law.
